1. Who these terms are between
These terms form the agreement between Voxbolt Digital LLC, 833 Whispering Pines Circle, Irving, Texas 75039, United States (“we”, “us”, “Voxbolt”) and the business buying services from us (“you”, “the Customer”).
These are business-to-business terms. Our services are sold to companies and sole traders acting in a business capacity, not to consumers. If you are buying for personal or household use, these terms are not written for you and you should not place an order.
2. What we supply
Depending on what you order, we supply some or all of the following:
- Voice termination — outbound call carriage to international destinations, with or without calling line identification (CLI).
- DID and local numbers — inbound telephone numbers in the markets listed on our DID rates page.
- Toll-free numbers — inbound freephone numbers in the markets listed on our toll-free page.
- Web development — design and build work as described in a separate written scope.
Coverage changes. A destination shown as available today may become unavailable if a carrier withdraws a route or a regulator changes the rules. We will tell you before it affects a service you are already using, where we are given notice ourselves.
3. Orders, quotes and rates
Rates are quoted per destination and are valid for the period stated in the quote. Where no period is stated, a quote is valid for 14 days.
Wholesale voice rates move. We may change rates on notice, and where a carrier imposes an immediate change on us we may pass it through with shorter notice, telling you as soon as we can. If a rate change is unacceptable to you, you may stop sending traffic to the affected destination; you remain liable for traffic already carried.
Unless expressly agreed in writing, all prices exclude taxes, levies and regulatory surcharges, which are added where applicable.
4. Payment
New accounts start on prepayment. We may offer post-paid terms once a payment history exists; that is our decision and we can withdraw it.
- Prepaid balances are drawn down as traffic is carried and as number rentals fall due.
- Invoices, where issued, are payable within the period stated on the invoice.
- We may suspend service without notice if a prepaid balance is exhausted or an invoice is overdue. Suspension does not cancel amounts already owed.
- Number rentals are billed in advance and are not refunded for part months.
Call records generated by our platform are the basis for billing. If you dispute a charge, tell us within 30 days with your own records and we will compare them properly.
5. Your obligations
You are responsible for how your traffic behaves. Specifically, you agree that you will not use our services to:
- Send calling line identification you are not entitled to use, or spoof CLI to mislead the person receiving the call.
- Make calls that breach the telemarketing, consent or do-not-call rules of the country being called.
- Carry out fraud, including artificially inflated traffic, revenue-share fraud, Wangiri, or traffic pumping.
- Harass, threaten or deceive the people being called.
- Resell our services under a description that misrepresents what they are.
You are responsible for the acts of your own customers and downstream resellers as if they were your own.
6. Numbers, KYC and regulatory requirements
Telephone numbers are allocated to you for use, not sold to you. We do not transfer ownership of a number and neither does any other provider — numbering resources belong to national regulators.
Many markets require documentation before a number can be issued: proof of identity, proof of a registered business, and in some countries an in-country address. You agree that the documents you give us are genuine and current, and that you will tell us promptly if the details change.
Where a regulator requires it, we may be obliged to withdraw a number or disclose the details of the party using it. We will tell you when we are allowed to.
7. Emergency calls
Our services do not provide access to emergency services. Do not rely on a number or route bought from us to reach police, fire or ambulance, and make sure anyone using a service you have bought from us understands the same. You must have a separate means of calling emergency services available at every location where our services are used.
8. Service levels
We aim for continuous availability and we monitor routes actively, but no voice network is immune to carrier faults, cable cuts and regulatory interruptions. We do not warrant uninterrupted or error-free service.
Where a written service level agreement has been signed with you, that document governs availability, credits and remedies, and it takes precedence over this section.
9. Suspension and termination
We may suspend or terminate service immediately if you breach section 5 or section 6, if we are required to by a regulator or carrier, or if we reasonably believe traffic on your account is fraudulent. Where the reason allows us to warn you first, we will.
Either party may terminate for convenience on 30 days’ written notice. On termination, numbers allocated to you are withdrawn unless you have ported them away first. Ask us about porting before you give notice, not after — once a number is returned to the range holder it is usually gone.
10. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that, we are not liable for loss of profit, loss of business, loss of anticipated savings, loss of data, or any indirect or consequential loss, however arising. Our total liability in connection with the services in any 12-month period is limited to the amount you paid us for the affected service in the three months before the event giving rise to the claim.
These limits reflect the price of the service. Wholesale voice is sold at wholesale margins; the liability position is part of what makes those rates possible.
11. Confidentiality
Each party will keep the other’s commercial information confidential, including rates, traffic volumes and routing arrangements, and will use it only for the purpose of the agreement. This obligation continues for two years after the agreement ends.
12. Data protection
How we handle personal data is set out in our privacy policy. Where we process call detail records containing personal data on your behalf, we do so on your instructions and for the purpose of carrying and billing the traffic.
13. Changes to these terms
We may update these terms. We will publish the new version here with a new version number and date, and where a change materially affects an active service we will tell the account contact before it takes effect.
14. Governing law
These terms are governed by the laws of the State of Texas, United States, and the courts of Texas have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
